01. Overview

Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Retrotech websites, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

About Retrotech

Retrotech (“we,” “us,” “our”) provides software and related professional services. If you use the Services on behalf of an entity, you confirm you have authority to bind that entity.

Orders

Certain Services may be provided under an order form, statement of work, or subscription agreement (“Order”). If an Order conflicts with these Terms, the Order controls for that specific Service.

02.Access

Accounts

Some features require an account. You agree to provide accurate information and keep it up to date.

Credentials

You are responsible for maintaining the confidentiality of login credentials and for activity under your account. Notify us promptly if you suspect unauthorized access.

Availability

We aim to keep the Services available, but we do not guarantee uninterrupted access. Maintenance, updates, or events outside our control may affect availability.

03.Pricing

Fees

If you purchase paid Services, pricing and billing terms will be described in an Order or at checkout.

Taxes

Prices exclude applicable taxes unless stated otherwise. You are responsible for applicable taxes, duties, or government charges (including VAT where applicable).

Non-Payment

If payment is overdue, we may suspend access to paid Services until amounts are paid.

Refunds

Unless an Order states otherwise, fees are non-refundable.

04.Rules

You agree to use the Services responsibly and in compliance with applicable laws. You must not:

• attempt to access systems or data you are not authorized to access;
• interfere with, disrupt, or degrade the Services (including malware, scraping, or abuse);
• reverse engineer, decompile, or attempt to extract source code except where permitted by law;
• upload or transmit content that is unlawful, infringing, harmful, or deceptive;
• use the Services to violate third-party rights or legal obligations.

We may investigate suspected violations and suspend or terminate access as needed to protect the Services, users, and Retrotech.

05.Content

Customer Data

“Customer Data” means information, files, and content you submit to the Services. As between you and Retrotech, you retain ownership of Customer Data.

License

You grant Retrotech a limited right to host, process, transmit, and display Customer Data only as necessary to provide, maintain, secure, and improve the Services, comply with law, and enforce these Terms.

Your Responsibility

You confirm you have the rights and permissions needed to submit Customer Data, including any required consents.

Retrotech IP

The Services (excluding Customer Data), including software, design, and content, are owned by Retrotech or its licensors. You receive a limited, non-transferable license to use the Services for internal business purposes during your permitted access period.

Feedback

If you share feedback or suggestions, you grant Retrotech the right to use them without restriction or compensation.

06.Terms

Third Parties

The Services may link to or integrate with third-party services. Those services are governed by their own terms, and Retrotech is not responsible for them.

Privacy

How we handle personal information is described in our Privacy Policy.

Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind.

Liability

To the maximum extent permitted by law, Retrotech will not be liable for indirect or consequential damages. Retrotech’s total liability will not exceed the amounts paid by you for the Services in the 12 months before the event giving rise to the claim (or, if none, AED 1,000).

Termination

We may suspend or terminate access if you violate these Terms, if your use poses a security risk, or for non-payment where applicable. You may stop using the Services at any time.

Jurisdiction

These Terms are governed by the laws of the United Arab Emirates, as applicable, and disputes will be handled by the competent courts in the UAE unless an Order states otherwise.

Updates

We may update these Terms from time to time. If changes are material, we will provide notice as required by law. Continued use after the update means you accept the updated Terms.
